Code of Basic Working Conditions

INTRODUCTION: FANIA conducts its business in an ethical, responsible manner and with respect for human rights, therefore its employees must also follow these standards so as not to compromise integrity, honesty and compliance with all current regulations related to the Company's business. Any FANIA employee, contractors and/or service providers who violate the standards described in this code of conduct, or who refuse to confirm their commitment to these standards, will be subject to disciplinary action up to and including dismissal, depending on the severity of the violation and , if necessary, FANIA will also report such violations to legal authorities. Furthermore, we also expect our suppliers and business partners to honor the general principles set out in these standards and follow all obligations under the CODE OF CONDUCT. The information contained in this code of conduct reflects our careful view of labor standards supported by various groups around the world, including those outlined by the ILO – International Labor Organization, in certain situations, local legal obligations, collective bargaining agreements and agreements freely signed by employees may exceed some areas of this Code. Nevertheless, we believe that the Code of Conduct confirms the important universal values, which serve as the foundation of our relationships with employees. Therefore, it is the responsibility of FANIA, together with its CIPA + A – Internal Commission for Accident and Harassment Prevention, to work together to comply with law 14,457/2022, as described in its art. 23.

CHILD LABOR
We will not use child labor. Under no circumstances we will employ anyone under the age of 16 unless as part of a Government authorized training or apprenticeship program which is clearly beneficial to the participants. We respect and honor human rights.


COMPENSATION: We will promote the material well-being of our employees by providing compensation and benefits that are competitive and in compliance with applicable law.


FORCED LABOR: We will not use forced labor, in any form. We will not tolerate physically abusive disciplinary practices.


FREEDOM OF ASSOCIATION AND COLLECTIVE BARGAINING: We recognize and respect the right of our employees to freely associate and negotiate collectively. We will work constructively to promote the interests of our employees by seeking to provide opportunities for employees' concerns to be heard.


DISCRIMINATION: We value the cultural diversity of our employees and seek to create an atmosphere of trust, honesty and respect. We do not accept any form of discrimination, including those involving race, color, belief, religion, sex, age or physical or mental disability.


MORAL HARASSMENT: Differences of opinion and ideas are common and are part of any human relationship. A healthy conflict involves listening to others and respecting them even when there are differences, building relationships where everyone has space to express themselves without offense. To promote respectful work environments, we do not tolerate offensive, intimidating or hostile behavior, which may constitute situations of embarrassment, disrespect and harassment, regardless of hierarchical relationship.


SEXUAL HARASSMENT: The practice of behaviors that constitute sexual harassment is prohibited, therefore the relationship must be respectful in any type of professional relationship, whether between customers, suppliers, employees, managers, among others, regardless of the hierarchical relationship.


HEALTH AND SAFETY: We will provide and maintain for all employees a safe and healthy work environment that meets or exceeds applicable standards for occupational health and safety.


WORKING HOURS: We will comply with applicable legislation regulating working hours.


ETHICAL CONDUCT AT WORK: We will not accept or offer in all activities and relationships, any and all types of corruption, bribery, commissions, extortion and fraud, in order to create or maintain unfair interests or preferential treatments, ensuring a transparent and fair relationship. FANIA will select its suppliers based on the total value offered, evaluating quality, services and price. All suppliers will be treated honestly and fairly.


FANIA RULES REGARDING GIFTS, ENTERTAINMENT AND FAVORS: When it comes to this topic, it is necessary to use common sense when accepting gifts, except when they include promotional materials such as diaries, pens, USB sticks, among others. You must avoid any situation that could interfere with your decisions, which could be characterized as an exchange of favors or cause any discredit to the reputation of the person or company due to the attitude presented towards receiving or offering gifts, courtesies, bonuses, discounts in personal transactions, trips, invitations to participate in events, originating from a customer, partner or supplier.


RESPECT THE PROPERTY RIGHTS OF FANIA AND THIRD PARTIES: FANIA employees have the responsibility to protect the company's physical assets against theft, misuse and abuse. Likewise, any information that is or is not public knowledge, including technological information or intellectual property, owned by FANIA or entrusted to it by its business partners, customers and suppliers, must be protected, disclosed internally only on the basis of necessity and used only for appropriate business purposes. Non-public information, especially from competing companies, should not be accepted without a confidentiality agreement with the disclosing party. Take care not to inadvertently disclose such information, including in social situations, and do not inappropriately use data or information that may be brought to FANIA's attention by new employees who previously worked for a competitor. Copyright and publisher rights must be respected in relation to printed, audio, video and software materials, including those published on the Internet. You must respect the privacy of personal data to which you have access in the course of your work, including data from other FANIA employees, and you must respect the company's rules regarding information technology and privacy.

ENVIRONMENTAL PROTECTION: We seek to minimize waste, avoid pollution and conserve energy. All company facilities must comply with all standards, requirements and procedures. It is the social-environmental responsibility of internal and external stakeholders to commit to continuous improvement of the environmental management system, ensuring sustainable balance, achieving established objectives, complying with environmental policy statements and meeting legal and other applicable requirements. to the system, as well as the commitment to protecting the environment (water, energy, waste management), preventing and mitigating adverse environmental impacts..


VERIFICATION: We will seek, where appropriate, to verify our compliance with this Code.

RESPONSIBILITY AND IMPLEMENTATION: We will communicate this Code of Basic Working Conditions to all employees. In accordance with local practice, we will seek the support and assistance of all employees in this effort. Employees who believe in good faith that there is a violation of this Code must report it to the Human Resources department. No retaliatory action will be taken against any employee who makes such a report or cooperates in an investigation of a violation reported by another person. We respect our employees and believe that the success of our business is led by each one's creativity and team spirit. We will seek to provide fair working conditions and a safe and healthy work environment for our employees.


IN CASE OF DOUBTS (REPORTING POLICY): Interested Parties, if they become aware of any violation of the standards, or doubts, or other ethical issues described in this code of conduct, must report the matter on the respective telephone numbers described below. No action will be taken against Fania stakeholders that raise an issue regarding compliance with this code of conduct and basic working conditions if the same are raised in good faith.
